A Strategic Jurisdiction for Ownership and Registration

Why Malta?

Malta is one of Europe’s leading yachting jurisdictions, offering a well-established legal framework, efficient registration processes, and attractive fiscal solutions. Its position within the European Union, combined with global operational flexibility, makes it an optimal choice for both private and commercial yacht ownership.

Key Advantages

Robust Legal Framework

A clear and dependable framework governed by the Merchant Shipping Act provides legal certainty and protection for owners, financiers, and operators.

International Accessibility

There are no restrictions on the nationality of owners, shareholders, or crew. Yachts may be registered through Maltese entities irrespective of the residence of the ultimate beneficial owner.

Efficient Registration Process

Provisional registration may generally be obtained within a relatively short timeframe, allowing the yacht to operate pending completion of the final registration formalities.

Accessible and English-Speaking Registry

Transport Malta operates in English and is widely regarded for its accessibility and responsiveness, thereby facilitating efficient communication and the timely handling of registration matters.

EU Jurisdiction

Registration under the Maltese flag provides access to a reputable European regulatory framework with broad international recognition.

Ownership Structuring

Yachts are typically held through dedicated corporate vehicles, enabling:

- Asset protection and segregation of liability

- Efficient transfer of ownership through share transfers

- Alignment with financing and security arrangements- Streamlined succession and estate planning

Private vs Commercial Yachts

Private Yachts

Registered for personal use only and not permitted to generate income.

Commercial Yachts

Registered for charter operations and regulated under the Commercial Yacht Code issued by Transport Malta.

Commercial yachts must comply with specific requirements, including:

  • Certification in accordance with the applicable Commercial Yacht Code

  • Compliance with safety, manning, and operational standards

  • Restrictions on the number of passengers and operational scope

  • Ongoing surveys and inspections to maintain certification

Depending on the size and type of vessel, yachts may fall under the Small Commercial Yacht Code or the Large Yacht Code, each prescribing distinct regulatory and certification requirements.

The classification between private and commercial use has direct implications on VAT treatment, compliance obligations, and operational flexibility, and should therefore be carefully assessed at structuring stage.

VAT and Tax Structuring

Malta offers a robust and EU-compliant framework for the structuring of yacht ownership and operations from a VAT and tax perspective.

When properly structured, this may provide:

  • VAT-efficient solutions for both private and commercial yachts, depending on their use and navigation patterns

  • Structuring opportunities aligned with current Maltese VAT guidelines and EU principles

  • Access to Malta’s corporate tax framework, where relevant to the ownership structure

  • Optimisation of operational costs within a compliant and sustainable framework

Given the increasing regulatory focus at EU level, it is essential that any VAT structure is carefully designed and supported by appropriate substance and documentation.
